Incorporation of a private limited company under the Companies Act, 1956
  • Ensure :

    • Minimum paid up capital INR. 100,000 at the time of subscription
    • Minimum 2 members and 2 directors
  • Select at least four names.

    Points to remember:

    • Avoid names resembling too closely or same as that of other registered company
    • If name has coined words, give its significance
  • Apply to Registrar to ascertain availability of name in Form No. 1A with fee of Rs. 1000. Form should be signed by one or more promoter or proposed subscriber.

  • Registrar normally informs name availability within 7 days. If names are not available then submit fresh names for consideration by letter with no filing fees.

  • After obtaining Name Approval Letter get Memorandum and Articles of Association drafted.

  • Signing of Memorandum and Articles of Association –

    • By at least 2 subscribers who will write their full names, father’s name, occupation, address and number of shares subscribed.
    • There will be at least one witness to signatures who will sign and write their father’s name, occupation and address etc.
  • Get following forms filled and signed:

    • Form No.1 – Declaration of compliance with Act and rules regarding registration.
    • Form No.18 – Notice of situation of registered office and police station jurisdiction.
    • Form No.32 – Particulars of directors, manager or secretary.
    • Letter of Authority/ Power of Attorney in favour of one of the subscribers or other person authorizing him to file documents and papers for registration on receipt and to make corrections on requisite non-judicial stamp paper.
  • Dating of Memorandum and Articles of Association and other forms.

  • File with the Registrar within 6 months from availability the following documents alongwith filing fees for Registration of a Company

    • Signed and stamped copy of Memorandum and Articles of Association
    • Forms mentioned in (8) above
    • Original copy of Registrar’s letter intimating availability of name.
    • Power of Attorney duly executed.
  • Payment of registration fee

    • Through Net Banking Facility
    • Through Credit / Debit Card
  • After submission of document, on the call date do the corrections suggested by the Registrar of Companies in Memorandum of Association, Articles of Association and Forms.

  • Registrar of Companies will then issue Certificate of Incorporation under his seal and signature.

  • Private Limited Companies are not required to obtain Certificate of Commencement of Business and can immediately start carrying out its business from the date of incorporation.
